Welcome to the UNVL Platform. These Terms of Service (“Terms”) govern your access to and use of the UNVL Platform and related services provided by UNVL Technologies, Inc. (“UNVL,” “we,” “our,” or “us”).
By accessing or using the Platform, you agree to these Terms.
Use of the Platform
You may use the UNVL Platform only for lawful business purposes and in accordance with these Terms.
You agree not to:
Violate any applicable laws or regulations
Attempt to gain unauthorized access to the Platform
Interfere with Platform operations or security
Reverse engineer, copy, or create competing products based on the Platform
Upload malicious code, malware, or harmful content
Accounts
You are responsible for:
Maintaining the confidentiality of your account credentials
All activities conducted under your account
Promptly notifying UNVL of any unauthorized access or security incidents
Services
The UNVL Platform provides workflow intelligence, automation, analytics, documentation support, and operational recommendations for healthcare organizations and clinical laboratories.
UNVL does not provide:
Medical advice
Clinical decision-making
Legal advice
Coding, billing, or reimbursement guarantees
Customers remain solely responsible for all business, compliance, billing, and clinical decisions.
Fees and Payments
Certain services require payment pursuant to a subscription, order form, or separate agreement.
Failure to pay applicable fees may result in suspension or termination of access.
Data and Privacy
Your use of the Platform is subject to our Privacy Policy.
You retain ownership of your data. UNVL may use de-identified and aggregated information to improve platform performance, analytics, automation, and machine learning capabilities.
Intellectual Property
The UNVL Platform, including its software, workflows, content, documentation, AI systems, and underlying technology, is owned by UNVL Technologies, Inc. and protected by applicable intellectual property laws.
No ownership rights are transferred to users.
Suspension and Termination
UNVL may suspend or terminate access to the Platform if:
These Terms are violated
Payment obligations are not met
Use of the Platform creates security, legal, or operational risks
Upon termination, access to the Platform may be revoked and data may be handled in accordance with applicable agreements and policies.
Disclaimer
The Platform is provided on an “as is” and “as available” basis.
UNVL makes no guarantee regarding:
Accuracy of outputs
Operational results
Financial outcomes
Regulatory or compliance outcomes
Limitation of Liability
To the fullest extent permitted by law, UNVL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Platform.
UNVL’s total liability shall not exceed the amount paid by Customer to UNVL during the twelve (12) months preceding the event giving rise to the claim.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Changes to These Terms
UNVL may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
